The Parties agree to resolve disputes through a two-step Alternate Dispute Resolution (“ADR”) mechanism: Mediation: Parties will attempt to resolve disputes amicably. If unsuccessful within 30 days, the dispute will be resolved by arbitration. Arbitration: If mediation fails, the dispute will be referred to arbitration by a sole arbitrator appointed by the Company. The arbitration award will be valid and binding. The arbitration will be conducted in English, with the seat of Arbitration in the New Delhi, India. The Terms, Policy, and agreements between the Parties are governed by Indian laws, and the Courts at Delhi shall have exclusive jurisdiction over disputes.
